1. Agreement to Terms

By accessing or using CognitiveSys AI ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CognitiveSys AI is a WhatsApp Business API management platform that provides:

  • WhatsApp Business Account integration via Embedded Signup
  • Bulk messaging capabilities to customer contacts
  • Message template management and creation
  • Contact organization and categorization
  • Campaign tracking and analytics
  • Chatbot automation features
  • Integration with WhatsApp Business API

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must:

  • Be at least 18 years old
  • Represent a legitimate business entity
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

3.2 Account Responsibilities

You are responsible for all activity under your account. You agree to use strong passwords and keep your login credentials confidential.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful business communications purposes.

4.2 Prohibited Activities

You agree NOT to:

  • Send spam, unsolicited messages, or marketing without consent
  • Violate WhatsApp Business Policy or Terms of Service

  • Exceed rate limits or abuse API usage

5. WhatsApp Business Account

When connecting your WhatsApp Business Account:

  • You must own or have authorization to use the WhatsApp Business Account
  • You agree to comply with WhatsApp Business Terms and Policies
  • You are responsible for message content and recipient consent
  • We are not liable for WhatsApp account suspensions or bans
  • You must maintain a verified WhatsApp Business Account
  • Template approvals are managed by Meta, not by us

6. Subscription Plans and Billing

6.1 Plans and Pricing

We offer multiple subscription tiers (Free, Basic, Pro, Enterprise) with different features and limits. Current pricing is available on our website.

6.2 Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • Payments are processed via Stripe
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failed payments may result in service suspension

6.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access until the end of your current billing period. No refunds for partial months.

6.4 Usage Limits

Each plan has specific limits (contacts, messages, templates). Exceeding limits may require an upgrade or result in additional charges.

7. Intellectual Property

7.1 Our Rights

The Service, including all software, designs, logos, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

7.2 Your Content

You retain ownership of content you upload (contacts, messages, templates). By using the Service, you grant us a limited license to process and store your content solely to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You agree to our collection, use, and sharing of data as described in the Privacy Policy.

Contact Data Responsibility: You are solely responsible for:

  • Obtaining proper consent before messaging contacts
  • Complying with data protection laws (GDPR, CCPA, etc.)
  • Maintaining accurate contact information
  • Honoring opt-out requests

9. Service Availability and Modifications

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

9.2 Modifications

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modifications or interruptions.

10. Termination

10.1 By You

You may terminate your account at any time by canceling your subscription and requesting account deletion.

10.2 By Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment fails or is disputed
  • You engage in fraudulent or illegal activity
  • Your WhatsApp account is banned or suspended
  • Required by law or to protect other users

10.3 Effects of Termination

Upon termination, your access is immediately revoked. We will delete your data within 30 days unless required by law to retain it.

11. Disclaimers and Limitations of Liability

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantee

We do not guarantee:

  • Message delivery or WhatsApp API availability
  • Template approval by Meta
  • Compatibility with all devices or browsers
  • Error-free or secure operation
  • Data backup or recovery

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you send via WhatsApp
  • Your failure to obtain proper consent from contacts

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13.2 Dispute Resolution Process

Before filing a claim:

  • Allow 30 days for good-faith negotiation
  • If unresolved, disputes will be settled by binding arbitration

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

14.2 Amendments

We may update these Terms at any time. Material changes will be notified via email or dashboard notification. Continued use after changes constitutes acceptance.

14.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.4 No Waiver

Our failure to enforce any right does not waive that right.

14.5 Assignment

You may not assign these Terms. We may assign our rights without restriction.
